Modorra Affiliate Program – Terms & Conditions

Effective Date: 6.30.2026

1. Program Overview

The Modorra Affiliate Program ("Program") allows approved partners ("Affiliates") to earn commissions by referring customers to Modorra's online store through unique, trackable affiliate links.

Participation in the Program constitutes acceptance of these Terms & Conditions.

Modorra reserves the right to approve, reject, suspend, or terminate any Affiliate application or participation at its sole discretion.

2. Eligibility & Approval

Affiliates must:

· Operate a legitimate website, platform, or social channel

· Comply with all applicable advertising, consumer protection, and disclosure laws

· Promote Modorra in a truthful, ethical, and non-misleading manner

Affiliates may not represent themselves as Modorra or imply an official partnership beyond participation in this Program.

Modorra reserves the right to approve or reject applications at its sole discretion.

3. Commission Structure

Commissions are calculated based on net sales, defined as:

Gross order value minus returns, refunds, chargebacks, discounts, shipping costs, taxes, and any other transaction-related adjustments.

Performance-Based Commission Tiers (Monthly Net Sales)

· $0 – $9,999: 5% commission

· $10,000 – $24,999: 7% commission

· $25,000 – $49,999: 9% commission

· $50,000 – $99,999: 10% commission + $500 bonus

· $100,000 – $499,000: 10% commission + $1,000 bonus

· $500,000 – $999,000: 10% commission + $5,000 bonus

· $1,000,000+: 10% commission + $10,000 bonus

Bonuses are paid once the applicable tier is reached and verified.

4. Attribution & Tracking

Affiliate sales are tracked via unique affiliate discount codes assigned to each Affiliate upon approval. Attribution is recorded at the time of purchase when a valid affiliate code is applied at checkout.

Affiliate codes are evergreen — they do not expire and remain active for the duration of the Affiliate's participation in the Program unless revoked by Modorra.

Commission credit is granted for every qualifying order in which the Affiliate's code is used, regardless of when the customer was first referred. There is no time-limited attribution window.

Modorra reserves the right to investigate and void commissions on orders where code misuse, fraud, or policy violations are suspected.

5. Payout Schedule (Net 45)

Affiliate commissions are:

· Calculated on a monthly basis

· Paid on a Net 45 basis, following final reconciliation of:

o returns

o refunds

o chargebacks

o disputed transactions

o shipping or fulfillment adjustments

This ensures commissions reflect verified, completed net sales.

Affiliates are responsible for providing accurate payment information. Minimum payout thresholds may apply depending on payment method.

6. Returns, Refunds & Chargebacks

· Commissions on returned or refunded orders are voided

· Chargebacks or disputed transactions may result in commission reversal

· Modorra reserves the right to delay or withhold payouts pending investigation of suspicious activity

7. Prohibited Activities

Affiliates may NOT:

· Use spam, deceptive, or misleading marketing practices

· Make false claims about Modorra products or services

· Bid on Modorra brand terms in paid search without written approval

· Use unauthorized discount codes or incentives

· Engage in cookie stuffing, link manipulation, or tracking interference

· Misrepresent pricing, shipping timelines, or policies

Violation of these terms may result in immediate termination and forfeiture of unpaid commissions.

8. Disclosure Requirements

Affiliates must clearly disclose their affiliate relationship in compliance with applicable laws and platform guidelines.

Failure to disclose properly may result in suspension or termination.

9. Termination

Either party may terminate participation in the Program at any time.

Upon termination:

· Valid, approved commissions will be paid according to standard payout terms

· Fraudulent or non-compliant activity voids all outstanding commissions

10. Modifications

Modorra reserves the right to modify or update these Terms & Conditions at any time. Continued participation constitutes acceptance of any revisions.

12. Governing Law

This Program is governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict-of-law principles.
