Modorra Terms of Service Policy

1. Acceptance of Terms

By accessing the Modorra website or purchasing products or services, you agree to be bound by these Terms of Service (“Terms”), along with all applicable policies referenced herein.
If you do not agree, you must discontinue use of the site.

2. Nature of Modorra’s Business

Modorra is a digital enterprise offering:

·       Physical goods sourced and fulfilled through independent third-party suppliers (“Fulfillment Partners”)

·       Digital products, reports, and downloads

·       Business intelligence materials

·       Strategic consulting services

Modorra does not warehouse products, does not ship physical goods directly, and does not maintain physical inventory.

3. Eligibility

You must be at least 18 years old or the legal age of majority in your jurisdiction to purchase or participate in Modorra services.

4. Website Use & Account Information

You agree to provide accurate, current, and complete information when:

·       Creating an account

·       Communicating with Modorra

Modorra is not responsible for losses or delays caused by inaccurate information.

5. Product Descriptions, Pricing & Availability

Product descriptions, pricing, availability, and shipping timelines may change at any time without notice due to variations between suppliers.

Modorra reserves the right to:

·       Modify product offerings

·       Adjust pricing

·       Discontinue items

·       Limit order quantities

·       Reject orders at our discretion

6. Fulfillment Partners & Shipping

Physical products are fulfilled and shipped directly by independent suppliers.
By purchasing from Modorra, you acknowledge that:

·       Shipping times may vary

·       Packaging may differ by supplier

·       Certain items may be subject to regional delays or restrictions

·       Modorra is not responsible for carrier errors, customs delays, or lost packages after delivery confirmation

Any instructions or conditions imposed by suppliers may apply to your order.

7. Returns, Refunds & Cancellations

All returns and refunds are governed by Modorra’s Return & Refund Policy, which is incorporated into these Terms by reference.

Key elements include:

·       30-day window for eligible physical product returns

·       All returns must receive prior authorization

·       Supplier approval is required before any refund is issued

·       Digital products are non-refundable

·       Certain items are final sale

Refund Timeline

Approved refunds are issued to the original payment method within 7 to 10 business days after supplier approval and processing.

Modorra cannot expedite bank or processor timelines.

8. Digital Products

Digital products—including downloads, reports, toolkits, and guides—are delivered electronically.

All digital product sales are final, unless prohibited by law.

You may not:

·       Redistribute Modorra digital content

·       Resell or share downloads

·       Reverse-engineer or replicate proprietary materials

9. Consulting Services

Consulting engagements are governed by separate agreements and are not included under product purchase terms.

Consulting insights are informational and do not constitute financial, legal, medical, or professional advice.

10. Intellectual Property

All content on the Modorra website—including designs, branding, logos, images, text, downloadable products, and layouts—is the exclusive property of Modorra and protected under intellectual property laws.

You may not:

·       Copy, sell, or distribute website content

·       Use Modorra branding without permission

·       Claim ownership or authorship of Modorra materials

11. Prohibited Conduct

You agree not to:

·       Engage in fraud, chargeback abuse, or misuse of services

·       Attempt to disrupt website functionality

·       Upload harmful code or attempt unauthorized access

·       Misrepresent identity or payment details

·       Circumvent policy restrictions

·       Scrape or harvest data from the website

Modorra reserves the right to suspend or terminate accounts for violations.

12. Disclaimer of Warranties

Products and services are provided “as is” without warranties of any kind, express or implied.

Modorra does not warrant that:

·       Products will meet every user expectation

·       Services will be uninterrupted or error-free

·       Third-party fulfillment will operate without delays

·       Digital content will be free of minor formatting variability

To the fullest extent permitted by law, Modorra disclaims all implied warranties.

13. Limitation of Liability

To the maximum extent allowed by law, Modorra shall not be liable for:

·       Indirect, incidental, punitive, or consequential damages

·       Loss of profits, data, or business opportunities

·       Delays or errors caused by suppliers or carriers

·       Customer misuse of products

·       Unauthorized access to customer information by third parties

Modorra's total liability shall not exceed the amount paid for the specific item or service at issue.

14. Indemnification

You agree to indemnify and hold Modorra harmless against any claims, liabilities, damages, or expenses arising from:

·       Your use of the site

·       Your violation of these Terms

·       Misuse of products or digital materials

·       Interactions with third-party suppliers

15. Governing Law

These Terms of Service are governed by the laws of the State of Michigan, without regard to conflict-of-law provisions.

16. Modifications to Terms

Modorra may update these Terms at any time. Updates take effect immediately upon posting.

Continued use of the website constitutes acceptance of the updated Terms.
